I would like to know which takes precedence in a contract that I have with a title company. I have an original contract, and an addendum was added. In part since the addendums was added for the guarantee of payment. It stated that the addendum dated July 21,2015 is a guarantee if the Mexican Gov’t imposed another fee. It stated in the addendum that “no other clause to the original shall be modified and all other clauses stand in force”. I was then sent a letter stating that a fee not involving the Mexican Gov’t so this made the addendum null and void. Before the fee was paid the company sent me an addendum dated 08/07/2015 stating that as long as the fee was covered and could be proved , the title company would be directly responsible for me receiving a pay out. Since the 1st addendum and the original contract has the “no other clause shall modify this agreement” stated but was before the 08/07/2015 addendum was issued which it is not stated in the addendum. The addendum (guarantee) has the notary seal posted on it. I want to know is the second addendum enforceable at this point and have precedence over the proceeding addendum and contract?
